Distance Sales Agreement

This Distance Sales Agreement governs the rights and obligations of the parties regarding the sale and performance of hosting, server, domain, colocation, licensing, technical support and other digital services provided by Datafex Bilişim Teknolojileri Ticaret Ltd. Şti. through www.datafex.com.tr.
By placing an order, making a payment or using the services through www.datafex.com.tr, the Customer confirms that they have read, understood and accepted this Agreement.
Article 1 - Parties

In this Agreement, Datafex Bilişim Teknolojileri Ticaret Ltd. Şti. shall be referred to as the “Seller”, “Service Provider” or “Datafex”.
Buyer / Customer
Any individual or legal entity that creates an account, places an order, makes a payment or uses Datafex services through www.datafex.com.tr shall be referred to as the “Buyer” or “Customer”.
The Customer’s identity, contact, billing and order information consists of the information provided during the order process through the customer panel or payment screen.
Article 2 - Subject of the Agreement
The subject of this Agreement is to determine the rights and obligations of the parties regarding the sale, activation, delivery, performance, payment terms, right of withdrawal and refund processes for products or services ordered electronically by the Customer through www.datafex.com.tr.
This Agreement has been prepared in accordance with the Turkish Consumer Protection Law No. 6502, the Distance Contracts Regulation and other applicable legislation.
Article 3 - Description of Products and Services
The products and services covered by this Agreement may generally include:
- Web hosting services
- Reseller hosting services
- VDS, VPS and virtual server services
- Dedicated server services
- Colocation and infrastructure services
- Domain name registration, renewal and transfer services
- SSL certificate services
- License services
- Technical support, installation and configuration services
- Other digital services offered by Datafex through www.datafex.com.tr
The main features, duration, price, total amount including taxes, payment method and any additional fees of the purchased service are specified on the order screen, service description, preliminary information text, invoice or customer panel.
Article 4 - Preliminary Information and Formation of the Agreement
Before placing an order, the Customer confirms that they have been informed about the main characteristics of the purchased product or service, sale price, payment method, delivery or activation terms, right of withdrawal, refund conditions and other preliminary information.
By approving the order electronically, the Customer is deemed to have accepted the preliminary information form and this Distance Sales Agreement.
The Agreement becomes effective when the Customer approves the order and the payment is verified by Datafex.
Article 5 - Payment Method
The Customer may pay for the purchased product or service using one of the payment methods offered by Datafex.
Payment methods may include:
- Credit card
- Debit card
- Bank transfer
- Customer panel balance
- Other payment methods offered by Datafex
For bank transfer payments, service activation is completed after the payment reaches Datafex’s bank account and is verified. Datafex is not responsible for delays caused by bank processing hours, missing payment descriptions, incorrect payments or third-party payment providers.
Article 6 - Pricing, Taxes and Additional Fees
The prices of products or services are the prices displayed on www.datafex.com.tr or in the customer panel at the time of order.
Taxes, payment provider commissions, additional resource usage fees, domain costs, license fees, installation fees or other additional charges may be separately specified on the order screen or in the relevant service description.
The Customer is responsible for checking the total amount before approving the order.
Article 7 - Delivery and Performance of the Service
The services provided by Datafex are digital and technical infrastructure services.
Unless otherwise stated in the relevant service description, services suitable for automatic activation are generally activated within 15-30 minutes after payment approval.
Activation time may vary for services requiring manual review, custom installation, domain processing, license processing, security checks, stock availability or approval from third-party providers.
Datafex performs the service within the period committed after receiving the Customer’s order. Except for transactions requiring physical delivery, delivery of digital services is deemed completed when the service is activated electronically, access information is provided or the service becomes available in the customer panel.
Article 8 - Delivery Costs
Since Datafex services are mostly delivered digitally, there is generally no physical delivery cost.
However, additional delivery or processing fees may apply for services requiring special hardware, physical documents, cargo, courier delivery or third-party processing. Such fees are communicated to the Customer before the order is placed.
Article 9 - Customer’s Representations and Obligations
The Customer accepts, represents and undertakes that:
- The information provided during the order process is accurate, current and complete
- The purchased service will be used in accordance with the law and applicable agreements
- The Customer is responsible for all content, data, software and activities hosted or performed through the service
- The service will not be used for spam, phishing, malware, attacks, copyright infringement or illegal activities
- The Customer is responsible for technical knowledge, software compatibility and use of the service
- The Customer is responsible for the security of account, panel, password, API key and other access credentials
- The Customer will comply with Datafex’s Terms of Service, Privacy Policy, Cancellation and Refund Policy and other applicable policies
In case of unlawful use or breach of contract, the service may be suspended, terminated or reported to the relevant authorities.
Article 10 - Seller’s Representations and Obligations
Datafex makes reasonable efforts to provide the products or services subject to this Agreement in accordance with the main features specified in the order.
Datafex makes reasonable efforts to resolve technical issues arising from its own infrastructure within a reasonable time.
Datafex shall not be held responsible for disruptions caused by third-party providers, internet infrastructure, data centers, payment institutions, registrars, Customer-related errors or force majeure events.
Article 11 - Right of Withdrawal
A Customer who qualifies as a consumer may have the right to withdraw from a distance contract within 14 days without giving any reason and without paying any penalty, in accordance with applicable legislation.
For service contracts, the withdrawal period starts on the date the agreement is concluded.
To exercise the right of withdrawal, the Customer must send the withdrawal notice to Datafex within the legal period in writing or through a durable medium.
The withdrawal notice may be submitted through the following channels:
- Support ticket through the customer panel
- Email to [email protected]
- Written application
Phone notices alone may not be considered sufficient as a withdrawal notice. For proof purposes, withdrawal notices should be submitted in writing or through a durable medium.
Article 12 - Services Excluded from the Right of Withdrawal
The right of withdrawal may not be available for the following services due to the nature of the service or legal exceptions:
- Services whose performance has started before the end of the withdrawal period with the Customer’s approval
- Services performed instantly in electronic environment
- Intangible digital services delivered instantly to the Customer
- Domain name registration, renewal and transfer transactions
- SSL certificate services
- License services
- VDS, VPS and virtual server services
- Dedicated server services
- Custom installation and configuration services
- Services customized for an individual or organization
- Activated, used or delivered digital services
- Transactions that have incurred third-party costs
The Customer acknowledges that the services are provided digitally, that some services become available immediately after activation and that the right of withdrawal may therefore be limited for certain services.
Article 13 - Refund Process
Where the right of withdrawal applies, the refund is processed within the periods required by applicable legislation after the withdrawal notice reaches Datafex.
Datafex may process the refund through one of the following methods:
- Refund to the original payment method
- Credit to the customer panel balance
- Another payment method requested by the Customer and deemed appropriate by Datafex
Processing times caused by banks, payment institutions or payment providers are outside Datafex’s control. After Datafex initiates the refund, the time required for the amount to appear in the Customer’s account may vary depending on the relevant bank or payment provider.
Article 14 - Cases Excluded from Refund
Refunds may not be provided in the following cases:
- The service has been activated and started with the Customer’s approval
- Domain, SSL, license or third-party costs have been incurred
- The Customer has exceeded resource limits
- The service has been suspended due to spam, phishing, malware, attacks, illegal content or breach of contract
- Software, themes, plugins or modules installed by the Customer do not work
- Customer-caused incorrect configuration, deletion, corruption or security incident
- The service has been customized for an individual or organization
- Services provided under special campaign or promotional terms
Article 15 - Defective Service
If the service is defectively performed, the Customer may exercise their rights under applicable legislation.
The Customer may request re-performance of the service, a price reduction proportional to the defect, free repair or correction where possible, or withdrawal from the agreement if the relevant legal conditions are met.
Claims regarding defective service are evaluated by Datafex based on technical records, service type, usage status, Customer-related actions and applicable legislation.
Article 16 - Payment Plan and Installment Transactions
If the Customer pays by credit card in installments, the installment transaction is subject to the agreement between the Customer and the card-issuing bank.
The number of installments, payment date, interest, commission or additional fees that may be applied by the bank are determined by the card-issuing bank. The Customer is responsible for tracking the payment plan and account statement through their own bank.
Article 17 - Default and Legal Consequences
If the Customer fails to fulfill payment obligations, Datafex may suspend the service, restrict access, terminate the Agreement or exercise its legal rights.
In case of default, chargeback, payment cancellation or unauthorized transaction claims related to credit card or bank transactions, the Customer is responsible toward the relevant bank or payment institution.
If the payment is cancelled, charged back or not received by Datafex, Datafex is released from the obligation to deliver or continue providing the service.
Article 18 - Electronic Commercial Communications
Datafex may send mandatory informational messages to the Customer regarding service performance, invoices, payments, security, technical support, maintenance, outages, account and contract processes.
Electronic commercial messages for advertising, campaigns, promotions and marketing purposes are sent only if the Customer has given consent in accordance with applicable legislation.
The Customer may update commercial communication preferences through the customer panel or stop receiving marketing messages by using the unsubscribe methods included in the messages.
Article 19 - Protection of Personal Data
The Customer’s personal data is processed in accordance with Datafex’s Privacy Policy and Personal Data Protection Notice.
The Customer acknowledges that personal data necessary for order and service processes may be processed.
Detailed information regarding the processing of personal data is available in the Privacy Policy published on www.datafex.com.tr.
Article 20 - Complaints and Application Authorities
The Customer may first submit complaints and objections regarding the products or services subject to this Agreement to Datafex.
A Customer who qualifies as a consumer may apply to Consumer Arbitration Committees or Consumer Courts within the monetary limits and jurisdiction rules set out under applicable legislation.
Article 21 - Governing Law and Jurisdiction
This Agreement is governed by the laws of the Republic of Türkiye.
Without prejudice to the mandatory jurisdiction rules arising from consumer legislation, Istanbul Courts and Enforcement Offices shall have jurisdiction over disputes arising from this Agreement.
Article 22 - Storage and Access to the Agreement
This Agreement is approved electronically by the Customer during the order process.
Datafex may store agreement and order records for the periods required by applicable legislation. The Customer may access order and service information through the customer panel.
Article 23 - Effectiveness
This Agreement becomes effective when the Customer places an order, makes a payment or starts using the service through www.datafex.com.tr.
By approving the order, the Customer is deemed to have accepted this Distance Sales Agreement, the Preliminary Information Form, the Terms of Service, the Cancellation and Refund Policy and the Privacy Policy.
